Terms of Service
Effective Date: November 20, 2025
These Terms of Service (“Terms”) govern your use of the software development, code review, bug fixing, and consulting services offered by HireQuant LLC d/b/a NewGiant (“NewGiant,” “we,” “our,” or “us”). By using our services or accessing our website, you agree to these Terms.
1. Services Provided
NewGiant provides professional engineering and consulting services including:
- Code reviews and technical assessments
- Bug diagnosis and fixes
- Feature development and MVP builds
- Software architecture guidance
- Technical consulting and support
All services are provided on a best-effort basis.
2. Client Obligations
You agree to:
- Provide accurate requirements and instructions
- Supply necessary access to codebases, tools, documentation, and credentials
- Maintain your own data and code backups
- Ensure you have rights to all materials submitted
- Communicate promptly with NewGiant to avoid delays
NewGiant is not responsible for delays caused by missing access or incomplete information.
3. Intellectual Property & Ownership
3.1 Client-Owned Materials
All code, assets, technical materials, and documentation you provide remain your property.
3.2 Work Product
Upon full payment:
- All custom-developed code and deliverables transfer to you
- NewGiant retains no ownership interest
3.3 Internal Tools and Frameworks
We may utilize internal templates, libraries, utilities, or frameworks. These remain the property of NewGiant, but you receive a perpetual, royalty-free license to use them within your delivered project.
4. Payment Terms
- Payment structures (fixed-price, hourly, subscription, or hybrid) are specified in your proposal or invoice
- Payment may be required upfront or in defined milestones
- Late payments may suspend ongoing work
- All payments are non-refundable except where legally required
Invoices are issued under HireQuant LLC d/b/a NewGiant.
5. Confidentiality
Both parties agree to protect all confidential information including:
- Source code
- Access credentials
- Business plans and strategies
- Internal documentation
- All project-related and proprietary materials
Confidentiality obligations survive the completion or termination of services.
6. Disclaimers
NewGiant does not guarantee:
- That all bugs will be eliminated
- Specific business outcomes or performance improvements
- Perfect compatibility with third-party systems
- That code changes will not introduce new issues
Our services do NOT constitute a security audit unless explicitly contracted.
7. Limitation of Liability
To the maximum extent permitted by law:
- NewGiant’s total liability for any claim is limited to the amount you paid for the specific service
- We are not liable for indirect, incidental, consequential, or punitive damages
- You acknowledge responsibility for maintaining backups and verifying changes in a staging/testing environment
8. Termination
Either party may terminate services with written notice.
Upon termination:
- You must pay for all completed work
- NewGiant will deliver work-in-progress in its current state
- Confidentiality obligations remain in force
9. Independent Contractor
NewGiant operates as an independent contractor.
These Terms do not create a partnership, joint venture, or employment relationship.
10. Governing Law
These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules.
11. Updates to Terms
We may update these Terms periodically. Your continued use of our services constitutes acceptance of the updated Terms.
